Terms of Use

In these Terms, unless the context otherwise requires:

1.1. "Service" means the BASIS platform, website, mobile applications, and all related services provided by Basis Analytics HK Limited.

1.2. "User" means any individual or entity that accesses or uses the Service.

1.3. "Content" means all data, information, text, graphics, software, algorithms, and other materials available through the Service.

1.4. "Financial Data" means all financial statement data, market data, pricing data, and derived metrics provided through the Service.

1.5. "Subscription Plan" means the paid plan selected by the User to access certain features of the Service.

1.6. "Merchant of Record" or "MoR" means the third-party payment processor that acts as the seller of record and authorised reseller for purchases of Subscription Plans, is responsible for processing payments and applicable indirect taxes, and administers refunds in accordance with its own refund policy.

1.7. "Hong Kong" means the Hong Kong Special Administrative Region of the People's Republic of China.

2.1. By accessing or using the Service, you represent and warrant that you have read, understood, and agree to be bound by these Terms.

2.2. If you do not agree to these Terms, you must not access or use the Service.

2.3. These Terms apply to all visitors, users, and others who access the Service, including but not limited to free trial users, paying subscribers, and visitors to the website.

2.4. By using the Service, you represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement under the laws of your jurisdiction. If you are below the age of majority in your jurisdiction, you must obtain the consent of your parent or legal guardian.

3.1. BASIS provides fundamental analysis tools, scoring metrics, financial data visualisation, and related analytical services for publicly traded companies. The BASIS Score is a statistical percentile ranking that reflects a company's fundamental metrics relative to its sector peers. It is not an investment rating, recommendation, valuation, or indicator of future performance. All Content is provided strictly for informational, research, and educational purposes only.

3.2. All Financial Data originates from official regulatory filings (such as the SEC EDGAR system), direct stock exchange feeds, and trusted institutional market data partners, processed through our third-party data providers. We do not independently verify the accuracy or completeness of this data. The Financial Data is provided on an 'as is' and 'as available' basis for informational, research, and educational purposes only.

3.3. BASIS is not a financial advisor, investment advisor, broker, dealer, or portfolio manager. The Service does not constitute financial, investment, legal, tax, or trading advice, and nothing on the Service should be construed as a recommendation, solicitation, or offer to buy or sell any security or financial instrument. You are solely responsible for your investment decisions.

3.4. Past performance does not guarantee future results. All investment decisions involve risk, and you should consult with a qualified financial advisor before making any investment decisions.

4.1. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

4.2. You agree to: (a) provide accurate, current, and complete information when creating your account; (b) update your information promptly when changes occur; (c) notify us immediately of any unauthorised use of your account or any other security breach; (d) ensure that your use of the Service complies with all applicable laws and regulations.

4.3. We reserve the right to suspend or terminate accounts that are found to be in violation of these Terms, in accordance with Section 12.

4.4. You may delete your account at any time via your account settings. Upon deletion, your access to the Service will terminate immediately, and your personal data will be handled in accordance with our Privacy Policy.

5.1. Certain features of the Service require a paid Subscription Plan. By subscribing, you agree to pay all fees associated with your selected plan.

5.2. All fees are in United States Dollars (USD).

5.3. **Payment Processing and Seller of Record:** Purchases of Subscription Plans are processed by our third-party payment processor and merchant of record (the "MoR"). The MoR acts as the seller of record and authorised reseller for the transaction. Your purchase is therefore a transaction between you and the MoR, and is governed by the MoR's buyer terms and privacy policy in addition to these Terms. BASIS is not a party to the payment transaction and is not responsible for any errors, delays, or disputes arising from payment processing, except as required by applicable law.

5.4. **Cancellation:** You may cancel your subscription at any time. Your cancellation will take effect at the end of your current billing period, and you will not be charged for subsequent periods. You may cancel through your account settings, through the MoR's buyer portal, or by contacting [email protected].

5.5. **Refunds:** All refund requests are handled and administered by the MoR in accordance with the MoR's refund policy, which forms part of your buyer terms with the MoR. BASIS does not administer refunds and does not impose any conditions, qualifiers, or exceptions on refunds beyond those set out in the MoR's refund policy. Nothing in these Terms limits or excludes any statutory refund, cancellation, or withdrawal rights you may have under the mandatory laws of your country of residence. Where the MoR's refund policy and your statutory rights differ, the more favourable provision applies to you.

5.6. We reserve the right to change our pricing with 30 days' prior notice. We will notify you of any pricing changes via email.

5.7. Promotional codes and affiliate discounts are subject to the terms specified at the time of issuance. Promotional codes cannot be combined with other offers and have no cash value.

You agree not to use the Service for any unlawful purpose or in any manner that could damage, disable, overburden, or impair the Service. Prohibited uses include, but are not limited to:

6.1. **Data Scraping:** Using automated systems, bots, or any manual process to systematically collect data from the Service without our prior written consent.

6.2. **Reverse Engineering:** Attempting to reverse engineer, decompile, or disassemble any aspect of the Service, including its algorithms and software.

6.3. **Interference:** Interfering with or disrupting the integrity or performance of the Service or the data contained therein.

6.4. **Misrepresentation:** Impersonating any person or entity or falsely stating or otherwise misrepresenting your affiliation with a person or entity.

6.5. **Commercial Exploitation:** Using the Service for any commercial purpose not expressly authorised by these Terms, including reselling or redistributing any part of the Service.

6.6. **Harmful Use:** Transmitting any viruses, worms, or other destructive code.

6.7. **Regulatory Violations:** Engaging in any conduct that would violate any applicable laws or regulations, including but not limited to securities laws and data protection laws.

7.1. All Content, design, logos, algorithms, and software used in the Service are the exclusive property of Basis Analytics HK Limited and its licensors.

7.2. You may not reproduce, distribute, modify, create derivative works of, or reverse engineer any part of the Service without our prior written consent.

7.3. You retain ownership of any data you input into the Service but grant us a non-exclusive, worldwide, royalty-free license to process that data for the purpose of providing the Service to you.

7.4. The "BASIS" name and logo are trademarks of Basis Analytics HK Limited. You may not use our trademarks without our prior written consent.

8.1. WE PROVIDE THE SERVICE AND ALL DATA 'AS IS' AND 'AS AVAILABLE' WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2. WE DO NOT WARRANT THAT: (a) THE DATA WILL BE ACCURATE, COMPLETE, OR TIMELY; (b) THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; OR (c) ANY ERRORS WILL BE CORRECTED.

8.3. ALL FINANCIAL DATA ORIGINATES FROM OFFICIAL REGULATORY FILINGS, DIRECT STOCK EXCHANGE FEEDS, AND TRUSTED INSTITUTIONAL MARKET DATA PARTNERS, PROCESSED THROUGH OUR THIRD-PARTY DATA PROVIDERS. ALTHOUGH WE HAVE NO REASON TO BELIEVE THAT THE FINANCIAL DATA IS MATERIALLY INACCURATE, WE EXPRESSLY DISCLAIM ANY DUTY TO VERIFY OR UPDATE SUCH DATA. FINANCIAL DATA IS INHERENTLY SUBJECT TO REVISION AND MAY BE DELAYED, INACCURATE, OR INCOMPLETE.

8.4. THE BASIS SCORE AND ALL ANALYTICAL OUTPUTS ARE STATISTICAL PERCENTILE RANKINGS GENERATED BY AUTOMATED PROCESSES. THEY DO NOT CONSTITUTE INVESTMENT ADVICE, A RECOMMENDATION, A RATING, OR A STATEMENT ABOUT THE SUITABILITY OF ANY SECURITY FOR ANY PURPOSE. NOTHING ON THE SERVICE SHOULD BE RELIED UPON AS THE BASIS FOR ANY INVESTMENT DECISION.

8.5. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. INVESTMENT DECISIONS ARE YOUR SOLE RESPONSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

9.1. BASIS ANALYTICS HK LIMITED SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORISED ACCESS TO OR ALTERATION OF YOUR DATA; (C) ANY STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE SERVICE; (D) ANY ERRORS OR OMISSIONS IN THE FINANCIAL DATA; OR (E) ANY INVESTMENT DECISION MADE BY YOU OR ANY THIRD PARTY.

9.2. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE FEES YOU PAID TO US IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU ARE ON AN ANNUAL SUBSCRIPTION PLAN, THE CAP SHALL BE CALCULATED BASED ON THE PRO-RATA PORTION OF THE ANNUAL FEE ATTRIBUTABLE TO THAT SIX-MONTH PERIOD.

9.3. NOTHING IN THESE TERMS EXCLUDES OR LIMITS OUR LIABILITY FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (C) ANY OTHER MATTER WHICH CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

You agree to indemnify, defend, and hold harmless Basis Analytics HK Limited, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or relating to:

10.1. Your breach of these Terms;

10.2. Your violation of any applicable law or regulation in connection with your use of the Service;

10.3. Your infringement of any third-party rights, including intellectual property rights;

10.4. Any dispute between you and any third party arising from your use of the Service.

11.1. **Governing Law:** These Terms shall be governed by and construed in accordance with the laws of Hong Kong SAR, without regard to its conflict of laws principles.

11.2. **Consumer Protection Override:** If you are acting as a consumer and reside in a jurisdiction where mandatory consumer protection laws require that disputes be resolved in your local courts, you may also bring proceedings in those courts. Nothing in these Terms shall deprive you of the protection of such mandatory laws.

11.3. **Dispute Resolution:** Subject to Section 11.2, any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Hong Kong SAR.

11.4. **Class Action Waiver:** To the fullest extent permitted by law, you agree that any proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action. If applicable mandatory law grants you the right to participate in a class or representative action, this waiver shall not apply to the extent it contravenes such mandatory law. If this waiver is found unenforceable, any class action claims shall be brought in the courts of Hong Kong SAR to the extent permitted by applicable law.

12.1. We may terminate or suspend your account: (a) immediately, without prior notice, if you breach these Terms; (b) for any other reason, upon 30 days' written notice to you; or (c) as required by applicable law or regulatory authority.

12.2. Upon termination, your right to use the Service will cease immediately. You will not be entitled to any refund for any unused portion of your subscription, except as provided in Section 5 or as required by applicable law.

12.3. Sections 7, 8, 9, 10, 11, and 13 of these Terms shall survive termination.

13.1. **Entire Agreement:** These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.

13.2. **Language:** These Terms are concluded in the English language. Any translation provided is for convenience only. In the event of any inconsistency, the English version shall prevail. By accepting these Terms, you confirm that you have read and understood them in English.

13.3. **Severability:** If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

13.4. **Waiver:** Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

13.5. **Force Majeure:** We shall not be liable for any failure to perform our obligations under these Terms if such failure results from any cause beyond our reasonable control, including but not limited to acts of God, war, terrorism, strikes, governmental action, or internet service provider failures.

13.6. **Assignment:** You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.

13.7. **Electronic Communications:** By using the Service, you consent to receiving electronic communications from us, including notices about your account and the Service. These communications are part of your relationship with us.

14.1. We reserve the right, at our sole discretion, to modify or replace these Terms at any time.

14.2. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

14.3. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new terms, you must stop using the Service.
